Terms of Service

1. Acceptance of terms

By signing up for or using Uptiqr ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Lindustries, operating as Uptiqr.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into this agreement. We do not knowingly collect or allow access by anyone under 13 years of age.

3. Description of service

Uptiqr provides an uptime monitoring service that periodically pings URLs you configure, sends alerts when those URLs become unreachable, and allows you to publish public status pages. The Service also offers optional SMS and phone call alerts via third-party providers. We aim to check your monitors at your selected interval but do not guarantee that every check will execute exactly on schedule.

4. Accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@uptiqr.com of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

4a. Team members

Business plan accounts may invite other people as team members. An accepted team member has full access to the inviting account's monitors, status pages, maintenance windows, and escalation policies, including creating, editing, and deleting them, and may acknowledge, resolve, and post updates to incidents. Billing, account deletion, management of the team roster, and API keys remain available only to the account owner.

The account owner is responsible for all actions taken by invited members using that access, and grants those members access to the owner's data at the owner's sole discretion. Access is granted under the owner's plan and ends automatically when the owner removes the member, when the member leaves the team, or when the owner's plan drops below Business. If you accept an invitation, you agree to use the access only as directed by the account owner, to treat the data you can see through it as the owner's confidential information, and to remain bound by these Terms in your own right. You may leave a team at any time from Settings → Team.

5. Acceptable use

You may not use the Service to: (a) monitor URLs you do not own or do not have explicit permission to ping; (b) conduct or facilitate denial-of-service attacks or stress-tests against third-party systems; (c) violate any applicable law or regulation; (d) transmit spam, malware, or harmful content; (e) infringe on intellectual property rights; (f) attempt to reverse-engineer, scrape, or decompile the Service; (g) resell or sublicense access to the Service without our prior written consent; or (h) circumvent plan limits or access controls. We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

API access. Pro and Business plans include API keys and access to our public REST API. You are responsible for keeping your API keys confidential and for all activity carried out with them; treat a key as you would your password, and rotate or delete it in Settings if you believe it has been exposed. You may not share, publish, sublicense, or resell API access, which is covered by the same restriction as subsection (g) above. Data you retrieve through the API is subject to these Terms and to our Privacy Policy on the same footing as data you view in the dashboard, and API requests are subject to rate limits that we may adjust to protect the Service.

6. Subscriptions and billing

Paid plans are billed in advance, monthly or yearly depending on the billing interval you choose. Cancellation takes effect at the end of the current billing period. You retain access until that date. We do not offer refunds for partial months or unused time; switching between monthly and yearly billing on an active subscription is prorated by our payment processor and may credit unused time toward the new interval. SMS and phone call overages (when enabled) are billed at $0.02 per SMS and $0.10 per call; you may set a monthly spend cap in Settings. We reserve the right to change pricing with 30 days' notice delivered by email to the address on your account.

Downgrades can pause monitoring. When you move to a lower plan (including when a paid plan ends and your account returns to the free plan), your account is brought back within the new plan's limits automatically. Monitors above the new monitor limit are paused and stop being checked, check intervals faster than the new plan allows are slowed to the new minimum, plan-gated alert options are cleared, and status pages above the new page limit are unpublished, which takes them offline for your own visitors. Nothing is deleted, and paused monitors and unpublished pages can be restored by upgrading again or by removing enough of them to fit the new limits. Review your usage before downgrading.

Cancel before deleting. While a paid subscription is active, in a trial period, or past due, account deletion is blocked and you will be asked to cancel the subscription first. This exists so that deleting an account cannot leave a live subscription billing you.

7. Free plan

Uptiqr offers a permanent free plan with access to 10 monitors, 3-minute check intervals, 1 status page (with Uptiqr branding), heartbeat monitors, SSL certificate and domain expiry monitoring, maintenance windows, incident updates, and alerts by email and by webhook (Slack, Discord, Microsoft Teams, or generic JSON). No credit card is required for the free plan. Free plan users can upgrade to a paid plan at any time. Monitor limits, check intervals, and alert quotas are enforced at the time of use. Check history (ping results) is retained for 90 days on the Free plan and 12 months on all paid plans; see our Privacy Policy for full data retention terms.

8. Intellectual property

You retain ownership of all data you provide to the Service (monitor URLs, monitor names, status page content). You grant Uptiqr a limited license to process that data solely to provide the Service. Uptiqr retains all rights to the platform, software, and infrastructure. Nothing in these Terms transfers ownership of the Service or its underlying technology to you.

9. Data and privacy

You retain ownership of all data you input into the Service. We process your data as described in our Privacy Policy.

10. Termination

Either party may terminate at any time. You may delete your account from the Settings page, subject to the cancellation requirement in section 6. We may suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent activity, or your use creates legal risk to us or third parties. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

11. Service availability

We strive for high availability but do not guarantee uninterrupted, error-free, or perfectly on-schedule monitoring. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for any loss resulting from monitoring gaps, missed alerts, or service interruptions. Uptiqr is a best-effort monitoring tool and should not be your sole means of detecting outages for mission-critical systems.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements, that monitoring checks will execute at the precise interval configured, or that alerts will be delivered without delay.

13. Limitation of liability

To the maximum extent permitted by applicable law, Uptiqr is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to damages arising from missed alerts, monitoring gaps, or downtime of your monitored services. Our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless Uptiqr and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) URLs or content you submit for monitoring; (c) your violation of these Terms; or (d) your violation of any third-party rights, including unauthorized pinging of URLs you do not own.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under these Terms will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive the right to participate in class action lawsuits or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

16. Force majeure

Neither party is liable for any delay or failure to perform resulting from causes outside that party's reasonable control, including natural disasters, acts of government, power failures, internet outages, or disruptions to third-party service providers.

17. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets. These Terms are binding on permitted successors and assigns.

18. Entire agreement and severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Uptiqr regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Uptiqr.

20. Changes to terms

We may update these Terms at any time. We will notify you of material changes by email or by a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
